Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (as an individual or on behalf of a business entity, "Merchant") and ShopQuery, Inc. ("ShopQuery", "we", "us") governing your access to and use of the ShopQuery platform, including the merchant dashboard, catalog sync infrastructure, channel integrations, embeddable widgets, and APIs (collectively, the "Services").


By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Description of Services

ShopQuery provides catalog infrastructure for physical retail merchants. The Services allow you to:


—Connect your point-of-sale or inventory management system to ShopQuery using read-only credentials
—Automatically sync product and inventory data into a structured, buyer-facing catalog
—Publish that catalog to sales channels including WhatsApp, Instagram, Google Shopping, and your website
—Enable AI-assisted conversational responses to buyer queries based on your live inventory data

ShopQuery does not process payments, manage customer accounts, or fulfil orders on your behalf. We provide catalog and channel infrastructure only.

3. Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business to use the Services. You are responsible for providing accurate account information and maintaining the security of your login credentials.


You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

4. Merchant Responsibilities

By using the Services, you represent and warrant that:


—You own or have lawful rights to the product and inventory data you connect to ShopQuery
—You have obtained all necessary consents and permissions to connect your inventory system, including from any third-party provider
—The products, prices, and availability data you publish through ShopQuery are accurate to the best of your knowledge
—You will comply with the terms, policies, and guidelines of any third-party platform you connect through ShopQuery, including Meta's WhatsApp Business API policies, Meta's Instagram API policies, Shopify's Partner Program terms, and Google's Merchant Center policies
—You will not use the Services to publish false, misleading, illegal, or counterfeit product listings
—You will comply with all applicable consumer protection, e-commerce, and advertising laws in your jurisdiction

5. Meta Platform Integrations (WhatsApp and Instagram)

ShopQuery's WhatsApp and Instagram integrations operate through Meta's official business APIs. By enabling these integrations, you agree that:


—You are responsible for maintaining an active, compliant Meta Business account
—All messages sent through your connected WhatsApp Business or Instagram accounts comply with Meta's Messaging Policies
—You will not use the AI-assisted messaging features to send unsolicited messages, spam, or content that violates Meta's Community Standards
—ShopQuery acts as a technology service provider facilitating your use of Meta's APIs; ShopQuery is not responsible for Meta's platform availability, policy changes, or account suspensions
—You authorise ShopQuery to send and receive messages through your connected Meta business accounts solely for the purpose of responding to inbound buyer queries about your catalog

6. Shopify and POS Integrations

ShopQuery integrates with Shopify and other POS platforms as an authorised third-party partner. By connecting your Shopify or POS account:


—You grant ShopQuery read-only access to your product, variant, and inventory data via the applicable platform's API
—You confirm you have the authority to authorise this access under your agreement with your POS provider
—You understand that ShopQuery's access may be revoked at any time by disconnecting the integration from your account settings or from within your POS platform's app permissions

ShopQuery complies with Shopify's Partner Program Agreement and API Terms of Service. Any data accessed via Shopify's API is governed by both these Terms and Shopify's applicable policies.

7. Intellectual Property

ShopQuery retains all rights to the platform, software, infrastructure, and proprietary technology underlying the Services. These Terms do not grant you any ownership interest in ShopQuery's technology.


You retain ownership of your product data, inventory data, brand assets, and any content you provide to the Services. By connecting your data to ShopQuery, you grant us a limited, non-exclusive licence to process, structure, and publish that data on your behalf to the channels you have enabled.

8. Subscription and Payment

Access to ShopQuery requires a paid subscription. Subscription fees are billed monthly or annually in advance, as selected at signup. All fees are non-refundable except as required by applicable law or as described in our refund policy.


We reserve the right to change pricing with 30 days' written notice. Early access merchants are entitled to the pricing locked in at the time of their original subscription for as long as they maintain an active, continuous subscription on that plan.


Failure to pay may result in suspension or termination of your account. You are responsible for all taxes applicable to your subscription.

9. Prohibited Uses

You may not use the Services to:


—Publish, promote, or sell illegal products or services
—Violate any applicable law or regulation
—Infringe the intellectual property rights of any third party
—Transmit malware, viruses, or harmful code
—Attempt to gain unauthorised access to ShopQuery's systems or other users' accounts
—Scrape, copy, or reverse-engineer the Services
—Use the AI messaging features to engage in deceptive, coercive, or abusive communication with buyers

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SYNC LATENCY WILL MEET ANY PARTICULAR STANDARD.


SHOPQUERY IS NOT RESPONSIBLE FOR ANY LOSSES ARISING FROM INACCURATE INVENTORY DATA IN YOUR POS SYSTEM, THIRD-PARTY PLATFORM OUTAGES, OR CHANNEL INTEGRATION FAILURES OUTSIDE OUR REASONABLE CONTROL.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPQUERY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.


IN NO EVENT SHALL SHOPQUERY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST SALES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless ShopQuery and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your product listings, your violation of these Terms, or your violation of any third-party platform's policies.

13. Termination

Either party may terminate these Terms at any time by closing the account or providing written notice. Upon termination, your access to the Services will cease and your catalog will be removed from all connected channels.


We reserve the right to suspend or terminate your account immediately if we determine you have violated these Terms, Meta's or Shopify's platform policies, or any applicable law.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-dashboard notice at least 14 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
